Domestic Terms and Conditions of Sale

(for the Continental United States and Canada)

Warranty: Brewer shall manufacture the Products in accordance with the requirements of all applicable law, including without limitations, the regulations promulgated by and for the Federal Food and Drug Administration and industry standards. Brewer warrants its Products to be free from defects in parts and workmanship under normal use and service for a period detailed in the table below from the date of delivery to original end user. Brewer will not be responsible for any Product failure due to abuse, modification or improper use, or for any use which exceeds the published capacity of the Product.

Do not discard parts before contacting Brewer for warranty service, as Brewer may require the customer to send in defective parts for examination to determine the applicability of these warranty provisions. If this occurs, the customer will be invoiced against a new purchase order for the replacement part. If the part is found to our satisfaction to have been defective under the terms of the warranty, the customer will be credited the amount of the replacement part and outbound shipping costs. If the part is found not to be defective under the terms of this warranty, the customer is liable for the cost of the replacement part, shipping, and/or any repair costs.

This warranty is exclusive and in lieu of all other warranties and remedies whatsoever, including but not limited to implied warranties for merchantability and/or fitness for a particular purpose. No agent, employee, or representative of Brewer has any authority to make any affirmation, representation, or warranty not set forth in these terms and conditions concerning any products of Brewer. Brewer shall have no liability whatsoever for damages caused by transportation, accidents, fire, unauthorized alteration, or normal wear or abuse. Brewer will have no liability whatsoever for any incidental or consequential damages, including without limitation, lost profits or any such damages arising from (a) the design, manufacture, sale, delivery, installation, repair, operation or use of Products of Brewer or any part thereof, (b) any actual or alleged failure or defect in Products of Brewer or any part thereof, or (c) any actual or alleged breach or non-performance by Brewer of this limited warranty.

Obtaining Warranty Service:Warranty service must be obtained through The Brewer Company by contacting Customer Service by phone at 1.888.Brewer1 (1.888.273.9371), by fax at 1.262.251.1786, or by e-mail at customerservice@brewercompany.com. If the product is within the warranty period described above, Brewer will either provide on-site repair services, ship replacement parts or replace the product at the discretion of The Brewer Company. On-site service is provided only within the Continental United States, and only replacement parts or product will be provided at Brewer’s discretion in Canada. A product warranty registration must be completed for exam tables and LiftMates and submitted to Brewer within 30 days after purchase in order to receive warranty benefits. Warranty cards are included in the purchase of all exam tables and LiftMates and are also available online at www.brewercompany.com.

Prices:   Prices shall be as quoted on the price list of The Brewer Company. All prices are subject to change without notice. The price for all sales shall be the price in effect at time of shipment. All prices are exclusive of taxes and charges for freight and insurance which shall be the sole obligation of the customer. Emergency or rush orders are subject to added handling and transportation charges.

Internet Pricing Policy:   Internet pricing shall be based on Manufacturers Suggested List Pricing. Posted internet pricing deviations are subject to distributor termination. All prices are subject to change without notice.

Payment Terms:   Payment terms are net 30 days from the date of invoice. The Brewer Company (I) may suspend shipments if payment of any customer invoice is not paid when due or if The Brewer Company otherwise deems itself insecure and (II) shall be entitled to receive all expenses of collection (including attorneys’ fees) related to any action initiated to collect past-due amounts.

Canadian Freight Surcharge:A $50 fee applies to Canadian orders for customs and other documentation in the event of LTL shipments. The customer is responsible for all duties and taxes.

Rebates/Tracings:   Payment of any incentive, rebate, fee, or other bonus due a customer under any program provided by The Brewer Company shall be net of any unauthorized miscellaneous deductions and service charges. A customer shall forfeit any such payment if amounts owed by such customer to The Brewer Company or any affiliate of The Brewer Company are outstanding for more than 30 days on the day that payment of the incentive, rebate, fee, or bonus is due. Tracings are to be provided to The Brewer Company free of charge in an acceptable format.

Discrepancy:   Any order discrepancy must be reported within 10 days of the invoice date and any price discrepancy must be reported within 30 days of the invoice date; otherwise, The Brewer Company shall have no obligation to issue any credit or replace any goods with respect to the order.

Improvement; Price List Not an Offer:   The Brewer Company reserves the right to improve or modify the design of its products consistent with new methods and techniques. The possession of this price list does not constitute an offer of sale.

Cancellation; Modifications:   Orders cannot be canceled or modified, nor can delivery schedules be changed, without the written consent of The Brewer Company upon such terms which will indemnify it against any loss there from. Upon receipt of order verification, the customer will be subject to fees of up to 25% for any cancellations or modifications.

Return Goods Policy:   Products must not be returned without proper written or verbal authorization from Brewer in the form of a Return Material Authorization (RMA). Requests for RMA must be made prior to return of product. All requests for authorization must include: (1) the reason for requested return, (2) the original purchase order number, (3) Brewer item number, and (4) the quantities of product to be returned.

Non-warranty product returns must be made PREPAID to Brewer, must be without damage, and must have the original Brewer packaging intact. The RMA number should be referenced on the outside of the packaging for all returns. Returns must be received within 60 days of issuing the RMA, and support products must be returned within 60 days of receipt by the original end user. Unauthorized returns, returns not referencing Brewer’s RMA number and potentially hazardous returns will be refused, are subject to an additional $25.00 fee, and will either be scrapped or returned to the customer at their expense.

Authorized returns will be eligible for credit per the following schedule:

*The standard restocking fee is 25% with a $50.00 minimum, whichever amount is greater, not to exceed the price of the product.

Domestic Freight Policy

(Continental United States and Canada)

Standard Freight Terms:All prices are FOB Menomonee Falls, WI.Default shipping method is dock-to-dock delivery. Drop shipping is available but may be subject to a handling fee.Any additional charges incurred by the receiving facility will be applied to the distributor.

Canadian Freight Surcharge:A $50 fee applies to Canadian orders for customs and other documentation in the event of LTL shipments. The customer is responsible for all duties and taxes.

Freight-Paid Shipments:To provide additional value to our customers, Brewer provides free dock to dock shipping on the following domestic orders:

Table and/or LiftMate Orders: Orders containing at least one table or LiftMate with a minimum of $3,000 in goods; all Brewer products on the order contribute to the $3,000 minimum

Medical orders without a Table or LiftMate: Orders with a minimum of $500 in goods that do not contain a LiftMate or table

Freight-paid shipment details:

  • Brewer establishes the method and size of shipments participating in the freight-paid program.
  • Deviations from Brewer policy are available by request, but are subject to additional charges. Examples of deviations include: requested changes to Brewer’s chosen delivery size and method and delays due to off loading.
  • The distributor will be billed for any additional charges incurred by the receiving entity.
  • Freight-paid shipments may be Drop Ship Orders.
  • Receiving facility must have a dock and may be required to supply a fork-lift to unload the product.

For all other orders, Brewer products are shipped FOB factory, and the customer is responsible for freight charges.

Special Shipping Services:The following services are available for an additional fee – please contact Brewer Customer Service at the number below for details:

Lift Gate: For deliveries without a loading dock; please note that this does not include inside delivery.

Inside Delivery: Product is transported from truck to just inside front door of building; please note that this does not include lift gate.

Setup and Debris Removal: Product is removed from skid, placed for use, packaging materials and skid are removed.

Expedited or Guaranteed Shipping: Fast and/or guaranteed arrival for shipments.

Freight Claims:   Upon receipt, merchandise should be carefully examined to ascertain that proper amount has been received in good condition – once the delivery receipt is signed free and clear, no freight claims can be made. Any claim for shortage or damage must be made with delivering carrier within five (5) days from receipt of goods. Brewer does not assume any responsibility for loss or damage in transit, and compensation for such loss must be obtained from the freight carrier.

Transfer of Ownership:Customer accepts ownership of the products upon initial loading of the shipment by the carrier at a Brewer facility.

International Freight Policy applies to all final destinations not located in the Continental United States or Canada.
